1. Acceptance

By accessing or using Hype Forge (the “Service”), operated by [TODO: registered legal entity name], you agree to these Terms & Conditions and to our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Hype Forge indexes video and image metadata from cloud storage you connect (such as Dropbox) and provides search, filtering, location clustering, thumbnails, and optional AI tagging. We access your connected storage on a read-only basis. We do not copy, move, modify, or store your original files; we store only the metadata and derived data described in the Privacy Policy.

3. Accounts and workspaces

You must sign in with a supported provider and keep your credentials secure. Your data is organized into a workspace that you own or belong to. Workspace owners and admins may invite members and assign roles, and are responsible for the activity of their members. You are responsible for all activity under your account.

4. Plans and limits

The Service is offered in tiers. Current limits are:

We may adjust plans, limits, and pricing; we will give reasonable notice of changes that affect a paid plan you are on. AI tagging on paid plans uses your own model API key.

5. Trial, billing, and renewal

• Paid plans include a 14-day free trial, no card required to start.
• Paid subscriptions are billed in advance through Stripe and renew automatically each billing period until cancelled.
• You authorize us, via Stripe, to charge your payment method for each period.
• Taxes may apply depending on your location.

6. Cancellation and refunds

You may cancel at any time from your settings; your plan remains active until the end of the current paid period, after which it reverts to Free. We offer a 14-day money-back guarantee on paid charges — see our Refund Policy for details.

7. Acceptable use

You agree not to:

• Use the Service unlawfully, or to index or process content you do not have the right to access.
• Attempt to breach security, disrupt, reverse engineer, or overload the Service.
• Resell or provide the Service to third parties except as permitted by your plan.
• Upload or process malicious code or infringing material.

8. Your content and third-party services

You retain all rights to your files and content. You grant us only the limited rights needed to read metadata and provide the Service. Your use of connected providers (Dropbox, Google Drive) is also governed by their respective terms, and you are responsible for complying with them. We are not responsible for the availability, accuracy, or actions of third-party services.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by Hype Forge and its licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that indexing or AI-generated metadata will be complete or accurate. We are not responsible for outages, changes, or data loss originating from connected third-party providers.

11. Limitation of liability

To the maximum extent permitted by law, Hype Forge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold Hype Forge harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to us or others. You may stop using the Service at any time. Sections that by their nature should survive termination (such as ownership, disclaimers, and limitation of liability) will survive.

14. Governing law

These Terms are governed by the laws of the State of [TODO: e.g. Delaware], United States, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction, except where applicable law gives you the right to bring proceedings in your local courts.
